{"id":4006,"date":"2020-04-17T11:49:30","date_gmt":"2020-04-17T09:49:30","guid":{"rendered":"https:\/\/www.alaris-law.com\/?p=4006"},"modified":"2020-04-17T15:16:10","modified_gmt":"2020-04-17T13:16:10","slug":"loyers-commerciaux-e-covid-19","status":"publish","type":"post","link":"https:\/\/www.alaris-law.com\/fr\/loyers-commerciaux-e-covid-19\/","title":{"rendered":"Loyers Commerciaux et Covid-19"},"content":{"rendered":"\n<p class=\"intro wp-block-paragraph\">Pr\u00e9cisions concernant la \u00ab\u00a0\u00a0suspension\u00a0\u00bb des loyers commerciaux pendant la crise sanitaire\u00a0annonc\u00e9e par le Gouvernement\u00a0<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dans son allocution t\u00e9l\u00e9vis\u00e9e du 16 mars 2020, le Pr\u00e9sident de la R\u00e9publique a annonc\u00e9 la suspension des factures d&rsquo;eau, de gaz ou d&rsquo;\u00e9lectricit\u00e9 ainsi que les loyers pour les PME.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Par la suite, le Gouvernement a publi\u00e9, le 25 mars 2020, l\u2019ordonnance <em>\u00ab\u00a0relative au paiement des loyers, des factures d\u2019eau, de gaz et d\u2019\u00e9lectricit\u00e9 aff\u00e9rents aux locaux professionnels des entreprises dont l\u2019activit\u00e9 est affect\u00e9e par la propagation de l\u2019\u00e9pid\u00e9mie de Covid-19<\/em>\u00a0\u00bb afin de mettre en \u0153uvre les d\u00e9cisions annonc\u00e9es par le Pr\u00e9sident de la R\u00e9publique.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. En r\u00e9alit\u00e9 \u00e0 la lecture de ce texte et notamment de son article 4, il convient de pr\u00e9ciser aux professionnels qu\u2019<strong>il ne s\u2019agit que d\u2019une possibilit\u00e9, sous certaines conditions, de diff\u00e9rer le paiement des loyers, et non d\u2019un v\u00e9ritable droit \u00e0 suspendre le paiement des loyers<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>[Article 4\u00a0de l\u2019ordonnance susvis\u00e9e\u00a0:\u00a0<\/em><br><em>\u00ab\u00a0Les personnes mentionn\u00e9es \u00e0 l&rsquo;article 1er ne peuvent encourir de p\u00e9nalit\u00e9s financi\u00e8res ou int\u00e9r\u00eats de retard, de dommages-int\u00e9r\u00eats, d&rsquo;astreinte, d&rsquo;ex\u00e9cution de clause r\u00e9solutoire, de clause p\u00e9nale ou de toute clause pr\u00e9voyant une d\u00e9ch\u00e9ance, ou d&rsquo;activation des garanties ou cautions, en raison du d\u00e9faut de paiement de loyers ou de charges locatives aff\u00e9rents \u00e0 leurs locaux professionnels et commerciaux, nonobstant toute stipulation contractuelle et les dispositions des articles L. 622-14 et L. 641-12 du code de commerce.<br>Les dispositions ci-dessus s&rsquo;appliquent aux loyers et charges locatives dont l&rsquo;\u00e9ch\u00e9ance de paiement intervient entre le 12 mars 2020 et l&rsquo;expiration d&rsquo;un d\u00e9lai de deux mois apr\u00e8s la date de cessation de l&rsquo;\u00e9tat d&rsquo;urgence sanitaire d\u00e9clar\u00e9 par l&rsquo;article 4 de la loi du 23 mars 2020 pr\u00e9cit\u00e9e\u00a0\u00bb ].<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ainsi, l&rsquo;obligation de r\u00e9gler le loyer demeure, ce sont uniquement les effets de la non-ex\u00e9cution de cette obligation qui sont suspendus, l&rsquo;ordonnance&nbsp;du 25 mars 2020&nbsp;n&rsquo;autorisant pas le locataire \u00e0 ne pas payer son loyer, mais interdisant&nbsp;uniquement&nbsp;au bailleur de r\u00e9clamer au locataire des int\u00e9r\u00eats de retard ou d&rsquo;engager une proc\u00e9dure en r\u00e9siliation de bail et d&rsquo;expulsion pour non-paiement des loyers.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">2. En outre et surtout, il convient de pr\u00e9ciser aux professionnels que pour b\u00e9n\u00e9ficier du dispositif en vigueur il convient de remplir un certain nombre de conditions cumulatives.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En effet, <strong>le locataire professionnel qui entend b\u00e9n\u00e9ficier de la mesure, doit \u00eatre \u00e9ligible au fonds de solidarit\u00e9, et donc&nbsp;remplir les conditions \u00e9num\u00e9r\u00e9es par le d\u00e9cret n\u00b0 2020-371 du 30 mars 2020 relatif au fonds de solidarit\u00e9 modifi\u00e9 par le d\u00e9cret n\u00b0 2020-394 du&nbsp;2 avril 2020, \u00e0 savoir<\/strong>&nbsp;:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>\u00ab\u00a0avoir d\u00e9but\u00e9 son \u00a0activit\u00e9 avant le 1er\u00a0f\u00e9vrier 2020,<\/em><ul><li><em>ne pas avoir d\u00e9pos\u00e9 de d\u00e9claration de cessation de paiement au 1er mars 2020<\/em><\/li><\/ul><ul><li><em>avoir moins de 10 salari\u00e9s,<\/em><\/li><\/ul><ul><li><em>r\u00e9aliser un CA inf\u00e9rieur \u00e0 1 million d&rsquo; euros, ainsi qu&rsquo;un b\u00e9n\u00e9fice imposable inf\u00e9rieur \u00e0 60\u00a0000 \u20ac au dernier exercice clos,<\/em><\/li><\/ul><ul><li><em>La personne morale ne doit pas avoir un dirigeant salari\u00e9 avec un contrat de travail \u00e0 temps complet ou b\u00e9n\u00e9ficiant d&rsquo;indemnit\u00e9s de s\u00e9curit\u00e9 sociale\u00a0sup\u00e9rieures \u00e0 800 \u20ac,<\/em><\/li><\/ul><ul><li><em>La structure ne doit pas \u00eatre contr\u00f4l\u00e9e par une soci\u00e9t\u00e9 commerciale, ni contr\u00f4ler elle-m\u00eame une structure qui d\u00e9passerait les seuils ci-dessus,<\/em><\/li><\/ul><ul><li>Faire l\u2019objet d\u2019 \u00ab\u00a0<em>une interdiction d&rsquo;accueil du public<\/em>\u00a0\u00bb ou conna\u00eetre \u00ab\u00a0<em>une perte de chiffre d&rsquo;affaires de plus de 50% entre le 1<sup>er<\/sup> mars 2020 et le 31 mars 2020<\/em>\u00a0\u00bb compar\u00e9e \u00e0 celui compris entre le 1er mars 2019 et le 31 mars 2019.<\/li><\/ul><\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Il convient de pr\u00e9ciser \u00e9galement que le dispositif ne s&rsquo;applique qu\u2019aux loyers et charges locatives dont l&rsquo;\u00e9ch\u00e9ance de paiement intervient entre le 12 mars 2020 et l&rsquo;expiration d&rsquo;un d\u00e9lai de deux mois apr\u00e8s la date de cessation de l&rsquo;\u00e9tat d&rsquo;urgence sanitaire.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ne sont donc pas concern\u00e9s les loyers \u00e9chus impay\u00e9s avant le 12 mars 2020.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Concr\u00e8tement, les effets du non-paiement des loyers sont donc suspendus \u00e0 compter du 2\u00e8me trimestre 2020 (que le loyer soit \u00e0 terme \u00e9chu ou \u00e0 \u00e9choir) jusqu&rsquo;\u00e0 \u00ab&nbsp;<em>l&rsquo;expiration d&rsquo;un d\u00e9lai de deux mois apr\u00e8s la date de cessation de l&rsquo;\u00e9tat d&rsquo;urgence sanitaire.<\/em>&nbsp;\u00bb<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3. Il est vivement conseill\u00e9 au locataire professionnel d\u2019informer son bailleur qu&rsquo;il rencontre des difficult\u00e9s pour r\u00e9gler son loyer en lien avec l&rsquo;\u00e9pid\u00e9mie et justifier qu&rsquo;il a d\u00e9pos\u00e9 une demande pour b\u00e9n\u00e9ficier du fonds de soutien, et&nbsp;tenter de convenir avec le bailleur d&rsquo;un \u00e9chelonnement de la dette locative \u00e0 la fin de l&rsquo;\u00e9tat d&rsquo;urgence sanitaire.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En tout \u00e9tat de cause, le locataire devra payer ses arri\u00e9r\u00e9s de loyer \u00e0 la fin de l&rsquo;\u00e9pid\u00e9mie.<\/p>\n\n\n\n<hr class=\"wp-block-separator\"\/>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Pour des questions suppl\u00e9mentaires vous pouvez contacter <\/em>Ma\u00eetre C\u00e9line TAIEB (<a href=\"mailto:celine.taieb@alaris-law.com\">celine.taieb@alaris-law.com<\/a>)<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Cet article a \u00e9t\u00e9 pr\u00e9par\u00e9 uniquement \u00e0 titre informatif.
